We are seeking a highly skilled and experienced Senior Equity Plan Administrator to manage and our company's equity compensation programs across both the U.S. and Canada. This role requires deep expertise in a wide array of deferral vehicles, including PSUs, RSUs, options, phantom units, and partnership structures. Experience in going private transactions strongly preferred. The ideal candidate will have hands-on experience with various equity administration systems and ensure the seamless execution of our equity plans while maintaining compliance with both U.S. and Canadian regulatory requirements.

Key Responsibilities:

Equity Plan Administration:

  • Administer and manage all aspects of the company’s equity compensation programs, including PSUs, RSUs, stock options, and phantom units in both the U.S. and Canada.
  • Maintain and update equity administration systems to ensure accurate record-keeping and reporting.
  • Process grants, vesting, exercises, and cancellations in accordance with plan documents and company policies.
  • Ensure compliance with tax withholding, payroll reporting, and regulatory requirements under U.S. SEC and Canadian Securities Administrators (CSA) regulations.
  • Support going private transactions by overseeing equity adjustments, terminations, and conversions related to corporate structure shifts.

Executive Compensation Support:

  • Partner with HR, Legal, and Finance teams to administer executive compensation plans and ensure compliance with governance requirements in both the U.S. and Canada.
  • Assist in the preparation of and/or provide supporting data for executive compensation disclosures as may be required, including Canadian continuous disclosure requirements (e.g., SEDAR filings).
  • Assist in the design and implementation of new equity programs, including performance-based incentive plans.

Compliance & Reporting:

  • Monitor and ensure compliance with SEC (U.S.) and CSA (Canada) regulations related to equity compensation.
  • Coordinate with external vendors, auditors, and legal advisors to manage equity plan reporting and compliance in both jurisdictions. Ensure robust reconciliation and audit processes are maintained.
  • Prepare executive-ready reports and presentations for senior leadership, compensation committees, and board meetings.

Employee Support & Communication:

  • Provide education and guidance to executives and employees regarding equity compensation plans, taxation, and plan changes in the U.S. and Canada.
  • Serve as a key point of contact for employee inquiries related to equity grants, vesting schedules, and transactions.
  • Develop and maintain equity-related communication materials and training sessions.

Qualifications & Experience:

  • 5 - 10+ years of progressive experience in equity plan administration and executive compensation experience.
  • Deep expertise with PSUs, RSUs, stock options, phantom units, and corporate transactions (e.g., going private, M&A, IPO, or SPAC structures).
  • Experience working with equity administration platforms such as Global Shares, E*TRADE, Carta, Certent, Shareworks or similar systems. Experience in implementing / migrating systems strongly preferred.
  • Solid understanding of Canada NI 51-102 executive compensation disclosure, prescribed stock option deductions, and equity tax reporting (T4, T5, NR4 filings)
  • Prior experience supporting compensation committees and senior leadership with equity plan insights and administration.
  • Advanced proficiency in Excel, financial modeling, and reporting tools.
