Job Overview

The primary mandate of the Legal Counsel is to provide legal advice and support to Monex Canada Inc., under the supervision of the Global General Counsel. The Legal Counsel will support the other global regions and lawyers as well as various projects and initiatives of the Legal Department. Legal services required cover a broad range of commercial, regulatory, corporate governance, compliance, and litigation matters. This position works closely with colleagues across Canada, the United States, Europe, Mexico, and Asia, ensuring legal and regulatory compliance while supporting strategic business objectives in a highly regulated financial services environment.

Key Responsibilities

  • Provide internal legal advice on a wide range of legal and regulatory matters
  • Draft, review, negotiate, and finalize contracts with clients, business partners, vendors, and independent contractors
  • Support agreements relating to foreign exchange, derivatives, money transmission, payment services, technology, marketing, procurement, and operational functions
  • Assess compliance with applicable laws, regulations, and industry standards and provide guidance on regulatory requirements, and, risk management
  • Support corporate governance and the maintenance of books and records
  • Assist with corporate reorganizations, due diligence exercises, intragroup agreements, and group level initiatives
  • Advise on data privacy and data protection requirements
  • Support litigation matters, including legal research, document preparation, dispute management, and settlement negotiations
  • Review legal invoices, manage outside counsel relationships, and assist with legal expense tracking
  • Develop and improve legal document templates, standardize legal processes, and identify opportunities to improve efficiency within the Legal function
  • Perform other related duties as assigned

Required Skills and Qualifications

  • Law degree (LLB or JD) or equivalent from an accredited university and authorization to practice law in Canada
  • Interest or exposure to some or all of financial compliance, financial institutions, in-house legal practice, corporate governance, regulatory enforcement, and familiarity with basic  commercial contracts and documents
  • Knowledge of financial transaction law, contract law, employment law, business associations law, privacy and data security legislation
  • Awareness of the regulatory environment of a money service business in Canada
  • Strong analytical, research, and problem-solving skills
  • Ability to communicate effectively and concisely in spoken and written English
  • Ability to manage priorities and pressures to operate effectively in a fast-paced environment under tight deadlines
  • Strong judgment, organizational, and decision-making skills
  • Exceptional attention to detail

Desirable Additional Skills and Experience

  • Experience in private practice, in-house legal work, regulatory agency, compliance function, or risk management role
  • Experience supporting financial services company or regulatory organization
  • Experience in corporate governance
  • Experience with commercial contracts such as confidentiality and non-disclosure agreements, client terms and conditions, service contracts, addenda etc.
