As part of TMX’s LCA team, reporting directly to the Director, Intellectual Property and Commercial Services, the Senior Legal Counsel, Commercial Services will serve as a trusted advisor supporting TMX Group Limited and its affiliates.

In this role, you will support the commercial group in LCA to draft, review, and negotiate high-impact commercial and technology agreements. You will provide actionable, risk-adjusted legal counsel in a fast-paced environment. We are seeking a legal professional with strong technical literacy and genuine curiosity about the technology underlying their legal work—including data flows, cloud environments, and emerging AI tools.

Key Responsibilities
  • Commercial Contracting & Negotiation: Independently structure, draft, and negotiate complex technology and commercial agreements across varying levels of focus:

    • Core Expertise (High Experience): SaaS, PaaS, cloud infrastructure, proofs of concept (POCs), professional/consulting services, software development, hardware procurement, SLAs, data licensing, and cross-border data processing (including privacy compliance).

    • Emerging & Complex Areas (Familiarity): Artificial Intelligence / Generative AI, high-critical technology acquisitions, complex outsourcing, source code escrow, and open-source software (OSS) licensing.

  • Strategic Projects & Advisory: Provide legal guidance on cross-jurisdictional strategic initiatives involving intellectual property, global privacy, data governance, information security, and regulatory compliance. Partner with cross-functional teams to identify and mitigate third-party risks.

  • Day-to-Day Commercial Advice: Offer clear, pragmatic interpretation of contracts, corporate policies, and potential commercial disputes to protect TMX’s business and legal interests.

  • Operational Excellence & Continuous Improvement: Help scale legal operations by contributing to contracting playbooks, standardized templates, and technology-assisted workflows. Proactively monitor legislative updates and legal trends in technology law to keep TMX strategies cutting-edge.

  • Ad-Hoc Support: Adapt to evolving business priorities by managing special projects and additional legal duties as assigned.

Qualifications & Key Requirements
  • Credentials: Called to the Bar of Ontario with membership in good standing with the Law Society of Ontario (LSO).

  • Experience: Minimum 5+ years of relevant experience, ideally gained within a top-tier law firm or a sophisticated, regulated corporate legal department.

  • Contract Expertise: Proven track record of drafting, negotiating, and advising on complex commercial and IT procurement contracts.

  • Legal Knowledge: Strong foundational understanding of intellectual property (IP) law, IT legal principles, and relevant regulatory frameworks.

  • Technical Literacy & Curiosity: A keen interest in the technology underlying the products you support (e.g., system architecture, data flows, cloud infrastructure).

  • Skills & Mindset:

    • Exceptional written and verbal communication, drafting, and negotiation skills.

    • Sharp analytical skills with strict attention to detail.

    • Strong collaborative approach with the ability to build trust across all organizational levels.

    • An iterative, growth-oriented mindset—comfortable with legal tech experimentation and process optimization.

Nice to Have:

  • Previous experience within the financial services or capital markets sector.

This role is hybrid (3 days/week in the office) - based in Toronto, ON.

Salary Range: $175,000/year -195,000/year CAD

Please note that the salary range included is a guideline only. The salary offered may vary based on factors, including, but not limited to, the successful candidate’s relevant knowledge, skills, and experience.
