The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, and enforcement activities. The OSC also contributes to national and global securities regulation development.

What We Do

The Trading and Markets Division is responsible for regulating market infrastructure entities in Ontario, such as marketplaces, self-regulatory organizations (SROs), protection funds, and clearing agencies, as well as overseeing derivatives regulation and dealer policy development and implementation. The Division also develops policy relating to market structure, clearing and settlement, fixed income, and crypto and tokenization.
 

The Opportunity
The Trading and Markets Division is currently seeking a Legal Counsel II to join our Markets team. You will be primarily involved in the oversight of marketplaces, including making recommendations with respect to how they are complying with Ontario securities laws and applicable recognition or approval orders. You will also assist with the review of new applications and the ongoing oversight of crypto asset trading platforms. In addition, you will be involved in developing policy related to both market structure and dealer regulation.
 

If you have an inquiring mind and a passion for the capital markets, we are looking for a candidate with:

  • A membership in good standing with the Law Society of Ontario.
  • Undergraduate degree or equivalent.
  • At least 5 years or equivalent of legal work experience post-call to bar with preferably a portion related to Canadian capital markets, financial services, and/or the securities regulatory environment.   
  • Strong ability to conduct business-related research, analyze complex problems, and develop creative recommendations that consider substantive or material issues and their impact on the capital markets.
  • Very good understanding of marketplaces and regulated entities, including crypto trading platforms.
  • Demonstrated ability to strategically assess the impact of various regulatory actions and balance regulatory objectives with practical business considerations.
  • Demonstrated ability to organize and manage multiple projects to meet deadlines.
  • Excellent written and verbal communication skills that demonstrate your ability to communicate clearly, concisely, and persuasively.
  • Very strong interpersonal and teamwork skills.
  • A desire to take initiative and an interest in cutting edge technologies.
