The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, and enforcement activities. The OSC also contributes to national and global securities regulation development.

The Corporate Finance Department is currently looking for a Legal Counsel II to join the team. We are responsible for the regulation in Ontario of public companies and companies raising capital in the exempt market. Corporate Finance also plays an active role in policy development within the OSC and the Canadian Securities Administrators.

What you will do:

As a Legal Counsel II, you will work on a multi-disciplinary team and you will be given opportunities to:

  • Review prospectuses, applications for discretionary relief from securities legislation, exempt market activities and continuous disclosure filings.
  • Contribute to the development of policy initiatives, including adapting regulatory principles to industry trends and emerging issues.
  • Interact with other OSC divisions, market participants and their advisors, and others engaged with the capital markets.

As the ideal candidate, you:

  • Are a member of the Law Society of Ontario in good standing and have a minimum of 5 years’ experience practicing securities law.
  • Have experience working with the securities regulatory regime as it applies to public companies and companies raising capital in the exempt market, ideally gained at a law firm or a reporting issuer.
  • Have legal knowledge of capital markets and the ability to exercise good judgement.
  • Have experience in policy development and regulation.
  • Have a demonstrated ability to establish collaborative working relationships within a team environment.
  • Can effectively balance regulatory objectives with practical business considerations.
  • Possess strong analytical, project management and communication skills.
  • Can successfully organize and manage multiple, complex projects and set and adjust priorities.
