Job Summary:

This is a unique opportunity for a corporate paralegal to be part of a growing and dynamic legal team. The successful candidate would experience progressive career growth, professional development, and gain valuable learning experience as the company continues to grow. The Corporate Paralegal, Entity Management will report to the Assistant General Counsel, U.S. Commercial Transactions, and s/he may directly support several attorneys and senior paralegals, including the Associate General Counsel, Securities and Deputy Corporate Secretary, General Counsel Canada and the Senior Corporate Law Clerk in the US. and/or Canada, working on corporate and other matters. 

Note, this position is 3 days a week in the Toronto, Canada office.

Responsibilities:

  • Support and/or perform corporate secretarial activities relating to all U.S. and Canadian Hub legal entities including minute books, resolutions, authorized signatories and powers of attorney.
  • Assist in completing and/or complete clerical work related to amalgamations and other corporate or securities legal duties in collaboration with the legal team and external service providers in all U.S. and Canadian jurisdictions.
  • Assist in preparing director and shareholder meeting resolutions and materials.
  • Conduct relevant legal research and other related duties as required by corporate legal team members.
  • Perform project management duties as needed to perform the relevant tasks for this position as well as when needed on an ad hoc basis. 
  • Complete clerical, administrative, and other tasks as needed, including spreadsheets, PowerPoint presentations, docketing, and scheduling.

Qualifications:

  • 3-5 years’ experience as a Paralegal or Law Clerk in a law firm or corporate environment.
  • Post-secondary education in legal administration or related field including a Paralegal Diploma or Law Clerk Designation.
  • Background providing support to legal department professionals, demonstrating good judgement and an understanding of, and adherence to, confidentiality practices.
  • Exceptional organizational and task prioritization skills, including the ability to prioritize job duties and work in a fast and detail-oriented manner.
  • Excellent written and verbal communication skills, including preparing documentation accurately, paying attention to detail.
  • Good research skills and demonstrated ability to find relevant and needed legal information.
  • Good working knowledge of/or desire to learn related corporate legislative requirements.
  • Demonstrated experience with/ or desire to learn Microsoft Office products.
  • Exposure to e-billing and/or matter management platforms a plus.
  • Insurance, brokerage and/or financial services industry experience a plus.
  • Ability to work in a fast-paced, ever changing company.

The expected salary range for this position is$65,000 to $80,000 and will be impacted by factors such as the successful candidate’s skills, experience andworking location, as well as the specific position’s business line, scope and level.HUBInternational is proud to offer comprehensive benefit and total compensation packages whichinclude extended health benefits, disability insurance, RRSP matching,paid-time-off benefits, and eligible bonuses, and commissions for some positions.
