Your role and responsibilities:

As Corporate Counsel, you will join our legal team during a high-growth phase, reporting directly to the Chief Legal Officer (CLO). This role is a dedicated "fast-track" for a talented associate aspiring to be a CLO, offering hands-on experience in board-level governance and complex commercial deals. You will:

  • Corporate & Securities: Support the CLO in public company matters, including SEC/OSC filings and Board of Directors meeting preparation.
  • Commercial Strategy: Lead the drafting and negotiation of SaaS, vendor, and partnership agreements, ensuring deals are commercially sound with uncompromising attention to detail.
  • Transactional Risk Management: Act as the primary gatekeeper for core assets, working with the IP team to ensure rigorous protection for company IP, data ownership, and liability standards.
  • Privacy & Data Stewardship: Advise on global privacy frameworks (GDPR, CCPA/CPRA) and partner with Product and Engineering to ensure "privacy by design".
  • Cross-Functional Collaboration: Serve as a true business partner to find creative solutions to legal bottlenecks, prioritizing "how we can" over "why we can't".
  • Legal Operations: Assist in scaling the legal department from the ground up by implementing new processes and playbooks.
Basic qualifications and experience:
  • Experience: 4 – 6 years of experience, including rigorous foundational training at a nationally recognized "Big Law" firm.
  • Education: J.D. from an accredited law school and an active license to practice.
  • Attention to Detail: Proven ability to produce flawless work product, with the ability to spot technical inconsistencies that others miss.
Preferred qualifications and experience:
  • Collaborative Mindset: Experience working with non-lawyers and the ability to translate complex legal concepts into actionable business advice.
  • Relationship Building: Proven track record of building strong, trusting relationships across a high-growth organization.
  • Versatility: A sharp and diligent approach to legal work within a fast-paced environment.
This is for a new position. Your base salary will be determined based on your location, experience, and internal benchmarks. The base salary range is 180,000 - 220,000 CAD. You will also be eligible for equity and benefits.
