About the Position:

Cologix is seeking a talented, pragmatic and driven team member to join its Legal Department to help perform all legal work for the company throughout its North American operations, with an emphasis on the support of commercial and employment matters in Canada.  This individual must have the ability to operate independently in a fast-paced environment, and to work proactively and capably with all the teams across the organization including, Finance, Sales, Design and Construction, Operations, Human Resources, Marketing and Customer Care.  In addition to supporting internal business partners, this individual will support legal department initiatives and legal operations programs to facilitate continued growth of the company.

Position Responsibilities:

  • Support commercial transactions, including drafting and negotiating customer and vendor agreements
  • Support employment matters, including drafting employment agreements
  • Assist in financial transactions as needed, including securities offerings, debt transactions and credit facilities
  • Assist in mergers and acquisitions and real estate transactions
  • Assist in corporate governance matters, including oversight of corporate policies, and compliance efforts
  • Work with cross-functional teams to build and enhance internal processes
  • Coordinate with outside legal counsel as needed
  • Provide day to day legal advice for team members to ensure the company’s best interests are being maintained in all areas of the organization

What makes you a good fit (Qualifications):

  • Current license to practice law in at least one Canadian province or US state
  • 4+ years of corporate and transactional experience as a practicing attorney in house and/or at a law firm
  • Experience in commercial contract drafting and negotiations
  • Excellent negotiation skills including experience negotiating complex terms and conditions
  • Outstanding communication and interpersonal skills to deal effectively with negotiation counterparties, executive management and staff regarding legal issues with high degrees of complexity and the ability to work issues to resolution
  • High sense of urgency and accountability in a fast-paced work environment
  • Willingness to learn about the data center industry and its unique legal aspects

Additional Qualifications (not required):

  • Experience in the data center industry
  • Experience with Civil-Law systems
  • Fluent in spoken and written French
  • Desire to have a diverse practice covering many different legal areas
