Reporting to the Vice President, Governance and Sustainability, you will assist TMX Group Limited and its subsidiaries with a diverse range or corporate and securities matters, including public company reporting, credit and debt facilities, governance and sustainability reporting, corporate structuring for tax and other purposes, long-term incentive programs and other general ongoing legal matters.
This role is hybrid (2 - 3 days/week in the office) - based in Toronto, ON.
Key Accountabilities:
Public Company Matters:
Prepare continuous disclosure documents, including the management information circular and annual information form, and ensure these documents are in compliance with disclosure obligations
Assist in the review of other disclosure documents, such as press releases, annual/quarterly financial reports, and other regulatory filings
Assist with planning and organization of annual meeting of shareholders
Review investor communications, including presentations and other materials
Corporate and Treasury
Attend to corporate and securities law matters, including negotiating and drafting documentation for debt offerings, credit facilities and tax restructurings undertaken as part of capital planning or in connection with M&A activity
Liaise with and draft documents to Toronto Stock Exchange as required in connection with any corporate transactions
Oversee the legal framework for post-trade credit arrangements, coordinating with post-trade enterprise risk management and others within TMX’s clearing and settlement ecosystems
Support the Human Resources Team with any amendments to long-term incentive plans
Draft and negotiate various agreements, including non-disclosure agreements, and agency agreements
Governance and Board Matters:
Assist with the preparation of board materials, including memorandums and resolutions for transactions and corporate actions;
Work with the Enterprise Sustainability Team to support the governance reporting required in the TMX Sustainability Report.
General Ongoing Legal Advice:
Provide proactive, practical and timely legal advice and assistance to various business units and corporate functions, including finance, investor relations, corporate communications, and human resources
Must Have(s):
6+ years of experience dealing with corporate/securities, public company, and corporate governance compliance / regulatory issues.
Called to the Bar of Ontario with Membership in the Law Society of Ontario, or another Canadian province with common law.
Strong verbal and written communication skills.
Ability to organize and manage multiple projects and set/adjust priorities to accommodate tight deadlines.
Nice to Have:
Bilingual (French/ English) skills will be an asset.
Completion of the Canadian Securities Course and other industry related courses will be an asset
Experience with regulated businesses will be an asset
Salary Range: $95/h -$100/h CAD
