We are a results-driven organization aggressively scaling our mobile-first platform across acquiring, card issuing, cross-border payments, loyalty solutions, and our rapidly evolving SuperApp ecosystem. As we prepare for our next stage of growth—including potential IPO readiness—we are seeking a strategic and business-minded General Counsel to join our executive leadership team.

Position Summary

The General Counsel will serve as the company’s principal legal advisor and a key strategic partner to the CEO and Board of Directors. This executive will oversee all legal, regulatory, compliance, corporate governance, and risk management functions across multiple jurisdictions, ensuring OTT Pay operates with the highest standards of integrity while enabling rapid innovation and expansion.

The ideal candidate brings deep fintech, payments, and regulatory experience, with demonstrated expertise in scaling high-growth companies and preparing organizations for public markets.

Key Responsibilities

Executive & Strategic Leadership

  • Serve as a trusted advisor to the CEO and Board on legal, regulatory, governance, and risk matters.
  • Shape legal strategy to support aggressive growth, product innovation, and international expansion.
  • Lead IPO readiness efforts from a legal and governance perspective, including public company compliance infrastructure.

Regulatory & Compliance Oversight

  • Oversee compliance across payments, card issuing, MSB/EMI regulations, AML/ATF, privacy, and cross-border financial services.
  • Manage relationships with regulators, financial institutions, card networks, and strategic partners.
  • Ensure adherence to evolving fintech, digital banking, and SuperApp regulatory frameworks.

Corporate Governance & Public Company Readiness

  • Establish and strengthen governance frameworks aligned with IPO standards.
  • Oversee Board governance, shareholder matters, and disclosure controls.
  • Lead securities law compliance and public company reporting preparation.

Commercial & Product Legal Support

  • Support product launches, partnerships, merchant acquiring agreements, and fintech integrations.
  • Negotiate and oversee complex commercial contracts, joint ventures, and strategic alliances.
  • Provide legal guidance on emerging technologies, digital wallets, embedded finance, and loyalty ecosystems.

Risk Management & Litigation

  • Identify and mitigate enterprise risk exposure.
  • Oversee dispute resolution, litigation management, and external counsel.
  • Build scalable legal risk management processes aligned with growth objectives.

Team & Department Leadership

  • Build and lead a high-performing in-house legal and compliance team.
  • Manage external counsel and optimize legal spend.
  • Foster a culture of proactive legal partnership across the organization.

Qualifications

  • 10+ years of progressive legal experience, including senior leadership roles.
  • Significant experience in fintech, payments, financial services, or banking.
  • Proven experience supporting high-growth companies, ideally including IPO preparation or public company governance.
  • Deep knowledge of financial services regulation, AML/ATF, privacy law, and cross-border compliance frameworks.
