About the Job

We are seeking a highly skilled and detail-oriented Corporate Paralegal to support the General Counsel and legal team across a broad range of corporate, transactional, intellectual property, and administrative matters. This role requires strong organizational abilities, contract management expertise, and the capacity to manage multiple priorities in a fast-paced, high-volume environment.  The ideal candidate needs to have excellent communication skills, enjoys being hands on and in the detail, and will play an instrumental role in corporate housekeeping and legal recordkeeping.


What You Will Do

Corporate Governance & Entity Management

  • Maintain and update corporate entity records, annual filings, and qualifications.
  • Draft and coordinate board agendas, consents, resolutions, and other governance materials.
  • Perform corporate maintenance, including timely filing of statements of information and UCC-1 with the Secretary of State.
  • Track and ensure compliance with key entity-level agreements.
  • Manage signature collection processes and support governance-related transactions.

Contracts & Transactions

  • Review, draft, revise, and administer a wide range of contracts (e.g., confidentiality, vendor, consultant, SOWs, amendments).
  • Ensure contract adherence to company policies, master agreements, and contract standards.
  • Coordinate with internal counsel and business units to address non-standard terms.
  • Maintain contract tracking systems and prepare summaries, key document checklists, and transaction-related documents.

Intellectual Property & Trademarks

  • Oversee and manage the company’s trademark portfolio, including applications, renewals, oppositions, and deadlines.
  • Maintain records of IP assets and coordinate with internal/ external counsel.

Insurance Portfolio

  • Manage the corporate insurance program, including applications, renewals, endorsements, and claims.
  • Collaborate with HR and management to develop or update employee policies and procedures as needed.
  • Track coverage details and maintain accessible records of all insurance policies.

Document & Data Room Management

  • Lead the effort to build and maintain a centralized document management system for contracts, board consents, insurance policies, and other key agreements.
  • Maintain corporate data rooms for transactions, due diligence, and audits.
  • Ensure accurate, consistent, and accessible documentation across departments.

Litigation & Legal Support

  • Track litigation deadlines and case calendars.
  • Support discovery, filings, and litigation-related administrative tasks.
  • Work with outside counsel and internal management teams on legal matters.
  • Cross-Functional Collaboration & Risk Management
  • Proactively communicate risks and opportunities to ensure collaboration and problem solving across departments.
  • Assist in developing and maintaining accurate points of contact for stakeholders, insurers, and other external parties.
  • Manage special projects related to corporate policy and compliance.

Vendor Management

Support vendor management processes and contribute to more efficient use of the provision of legal services to the organization.

  • Adaptive and able to thrive in a demanding, fast-paced environment
  • Able to synthesize complex technical and regulatory information into digestible concepts
  • Able manage multiple projects simultaneously and willingness to quickly pivot into new tasks as needed
  • Excellent verbal and written communicator
  • Analytical and attentive to detail

Compensation Description (annually): The salary range for this position in the selected city is $90,000.00 - $95,000.00 annually.
