Job Description:

Department Overview                   

Commercial National Accounts (CNA) provides dedicated relationship coverage to the larger commercial clients across all industry sectors. This client base is primarily designated by size of credit facilities being larger than 25 million and/or annual sales being greater than 150 million. It also encompasses all commercial clients with syndicated credit facilities (regardless of size). The group consists of senior commercial banking professionals who combine specific industry knowledge and extensive deal structuring experience to offer a full suite of customized credit and cash management solutions to meet the complex needs of our clients.

Job Description         

The Associate Director, Loan Syndications works closely with the Vice President and Head of Loan Syndications, and the Directors, Syndications in the origination, structuring, distribution, and marketing of TD-led syndicated loans in the Canadian bank market. The Syndications group works closely with all C.N.A. units nationally to assist them in executing their growth strategy through the loan syndication process.

Key accountabilities of this role include the following:

  • Support the VP and Directors, Syndications in the execution of TD-led syndicated transactions
  • With the VP and Directors, Syndications act as a key advisor to C.N.A. deal teams in the structuring and pricing of TD-led syndications
  • Assist deal teams in the preparation and delivery of written and verbal presentations to clients, and the preparation of detailed term sheets
  • Develop syndication strategies for the distribution of syndicated financings to other perspective lenders to ensure our client's financing requirements are fulfilled and to ensure TD achieves its targeted hold position
  • Production and distribution of marketing materials required in the syndication process including information memorandums, invite letters, and other related documents
  • Conduct market, industry, and client research in support of preparing and maintaining various databases of comparable transactions
  • Prepare closing reports, and league table submissions upon completion of a syndicated transaction
  • Assist in the management of potential syndicate participants throughout the syndication process including: i) providing prompt and thorough responses to any questions, and ii) providing guidance towards the important credit issues to assist potential syndicate participants in getting comfortable with the transaction in order to maximize the level of commitments
  • Maintain and develop relationships with investors primarily in Canada to ensure our proposals meet their needs with respect to price, structure, hold levels and industry to ensure the successful sell-down / circling of TD-led syndications
  • In conjunction with the deal teams, deal with amendments, waivers, etc. to loan agreements in a timely and professional manner through liaison with clients, syndicate participants, external legal counsel, and other interested internal or external parties
  • Co-ordinate with the other Senior Analyst on the team to ensure the comp databases, internal reports, marketing materials, etc. are kept up to date.
  • The role contributes to the growth of the C.N.A portfolio by recommending appropriate structures and pricing that will obtain market acceptance along with meeting the needs of customers while conforming to TD’s risk management policies. This role reports directly to the Vice President, Head of Loan Syndications.

Job Requirements      

Education/Accreditations:

  • Undergraduate or graduate degree in Business, Economics, Finance or other quantitative discipline or related work experience

Other Qualifications/Skills/Experience: 

  • Ability to prioritize multiple tasks and manage competing deadlines
  • Strong people management skills
  • Strong presentation skills;
  • Strong oral and written communication skills
  • Proven ability to work effectively in a team environment
  • A solid understanding of commercial/corporate credit risk including multi-bank transactions
  • Strong financial statement analysis skills
  • Knowledge of syndicated deal structures and processes is a definite asset
  • Ability to work with other product areas in a coordinated fashion including investment banking, treasury management products, cash management products, etc.
  • Strong computer literacy, plus spreadsheet and presentation skills
